PREAMBLE

  1. SNSI has developed and copyrighted an educational system consisting of educational materials for training recreational scuba divers, technical scuba divers and Freedivers. To facilitate the training process, SNSI permits qualified Diving Training Centers the right to use the SNSI Educational System.
  2. SNSI products are sold to authorized SNSI Centers who have demonstrated to the satisfaction of SNSI the ability to sell SNSI products to their students and apply the SNSI system.
  3. SNSI dive Centers are evaluated yearly on the basis that they have the capability to teach the SNSI Educational System; and the ability to perform the responsibilities described in this agreement.
  4. The Applicant Dive Center desires to become an SNSI Dive Center authorized to sell SNSI products as set forth in this Agreement.

AGREEMENT
 
The parties mutually agree as follows:
 
A. TERMS.
 
This agreement will commence upon SNSI’s acceptance and automatically renewed until terminated by SNSI, at its sole discretion, in the event that:

  • The Dive Center defaults on any payment due to SNSI for products or services purchased from SNSI and such defaults continue unremedied for a period of 30 days.
  • The Center claims to a credit card company that it does not recognize a charge from SNSI, prior to contacting SNSI for clarification of the specific charges.

B. SNSI OBLIGATION.
 
Upon acceptance of the Applicant Dive Center, SNSI shall grant the Center the right to operate as an SNSI Diving Training Center, Charter Boat, Educational, Resort, or Government Facility, and conduct SNSI Training Programs using the SNSI Educational System at said training facilities listed in this Agreement.

C. DIVE CENTER OBLIGATION.

  1. Compliance with SNSI Standards.The Dive Center agrees to teach the SNSI diver training program in strict accordance with the SNSI standards and procedures as they currently exist. It is the responsibility of the Center to maintain a copy and adhere to the latest Standards. The Center agrees to abide by such rules, regulations, and other requirements as now exist or hereafter are established by SNSI.
  2. Promotion. The Dealer agrees to display the SNSI logos in their Dive Center and on their website. To utilize SNSI promotional materials and to make its best effort to always present the SNSI educational system in the best possible light when soliciting prospective clients in a positive manner.
  3. Diver Training. The Center agrees, when conducting all levels of SNSI Diver Training Programs for certifications, to use the SNSI Educational System and will issue SNSI certifications. To qualify as an SNSI Dive Center, the Center agrees to have at least one currently certified SNSI Instructor affiliated to the Dive Center.
  4. Records. If not using the online SNSI eLearning system 100% then the Center shall faithfully complete all paper-training records, maintain those records for all students for a minimum of five (5) years and shall upon written request provide access to such records to SNSI Headquarters or insurance company personnel. Should the Dealer sell or close their business location, the paper student records will either be transferred to another SNSI Center assigned by SNSI or returned to SNSI Headquarters at the Centers own expense. The Center is to contact SNSI Office for final disposition of the records.
  5. Instructors and Divemasters. The Center shall require all SNSI Instructors and Divemasters who are actively teaching scuba diving and issuing SNSI certification cards through their business to: (1) Be current and in good standing with SNSI, and (2) Carry current professional liability insurance and provide proof of insurance (Where Required).
  6. Associated Instructors. An associated instructor can work under the auspices of an SNSI Center, but it is not required to conduct training at the Centers facility due to logistics. The Center may not use Associated instructors outside its trade area without prior written consent from SNSI Office
  7. Ethics. The Center agrees to uphold the highest ethical standards.

D. GENERAL PROVISIONS

  1. Supervision of Instructors and Divemasters. The Center recognizes that SNSI Office cannot be present to monitor the instructional activities of the Center’s instructors. The Center understands and agrees that it is the Center’s responsibility to monitor and supervise all SNSI Instructors and Divemasters affiliated to the Center, to assure that the instructors comply with SNSI Training Standards and the terms of this agreement.
  2. Monitoring. The SNSI Dive Center and/or the SNSI Dive Center’s appointed representative agrees to devise and establish a monitoring/supervision system for its SNSI Instruction professionals.
  3. Certification. It is the sole responsibility of the SNSI Dive Center and its instructors to assure that every person who receives SNSI certification meets all criteria as established SNSI current Standards. The SNSI Dive Center further agrees not to issue certification to any person who in any way fails to meet the intent as well as the letter of the SNSI Standards
  4. Modification of Instructional System. (The General Training Standards provide a provision for modification to the SNSI Training System). Any requested waiver to the current SNSI Training Standards must be sent to [email protected].

E. TERMINATION
 
Should the SNSI Center not comply with all this Agreement, SNSI reserves the right to terminate this Agreement by giving written notice to the Center.
